Suggested Outline and Governing Decisions

This chapter defines contract design and commercial modeling parameters across three core areas:

1. Platform Subscription vs. Studio Services Boundaries

  • Decisions Owned: Boundary rules separating volume-based platform subscription revenues from labor-based studio services fees on client SOWs.
  • Target Scope:
    • The Subscription Core: Definitions of recurring revenue metrics (e.g., Cost per Active Card, Cost per Transaction) and volume-based scaling tiers.
    • The Assembly Fee (Studio Services): Rules governing pricing for transition assembly, migration support, and legacy integration.
    • Customization Pricing: Pricing policies for client-requested customization that cannot be integrated into standard platform variability points.

2. SOW Scoping Limits and Solution Archetypes

  • Decisions Owned: Mandatory mapping of client Statements of Work (SOW) to standard Solution Archetypes to prevent scope drift.
  • Target Scope:
    • Rules gating SOW signings against certified Solution Archetype cookbooks (e.g., standard Credit Card Issuer setup).
    • Veto authorities of the Engagement Readiness Council (ERC) over non-standard commercial commitments.

3. GTM-Sponsored Capability Roadmap Funding

  • Decisions Owned: Governance of R&D capital allocation when GTM sponsors standard capability additions to unlock regional markets or strategic deals.
  • Target Scope:
    • Co-sponsorship contract templates between GTM and Product Line Owners.
    • Rules for amortizing GTM-sponsored R&D costs against segment-specific subscription revenue.
